تعدیل قیمت (Price Adjustment)

در قراردادهای بلندمدت، به‌ویژه در پروژه‌های عمرانی و صنعتی، ثبات قیمت‌ها عملاً امکان‌پذیر نیست. تغییر در شاخص‌های رسمی قیمت، نرخ ارز، دستمزد نیروی انسانی و بهای مواد و تجهیزات، می‌تواند تعادل اقتصادی قرارداد را بر هم بزند.

در METROR، تعدیل به‌عنوان یک سازوکار حرفه‌ای قراردادی برای به‌روزرسانی قیمت‌های پایه قرارداد متناسب با تغییرات عمومی سطح قیمت‌ها نسبت به دوره مبنا ( یا پایه) به کار گرفته می‌شود، به نحوی که:

• منافع کارفرما و پیمانکار همزمان حفظ شود؛

• ریسک تغییرهای غیرعادی قیمت‌ها مدیریت گردد؛

• امکان برنامه‌ریزی مالی و زمان‌بندی واقع‌بینانه برای طرف های قرارداد فراهم شود.

بر اساس ماهیت هر پروژه، مکانیزم تعدیل می‌تواند شامل موارد زیر باشد:

• استفاده از شاخص‌های رسمی (شاخص های ابلاغی سازمان برنامه و بودجه ، دستمزد، مصالح، ماشین‌آلات و …)،

• فرمول‌های تعدیل قیمت متناسب با ساختار قرارداد ( نمونه در سایت مترور منتشر شده است)،

• تعیین تاریخ مبنا (Base Date) و دوره‌های بازنگری،

• پیش‌بینی سقف تعدیل (Cap) و محدودیت‌های اعمال آن،

• تفکیک بین تعدیل مجاز (در چارچوب برنامه زمان‌بندی مصوب) و مقاطع ناشی از تأخیرهای غیرمجاز.

رویکرد ما این است که سازوکار تعدیل، شفاف، قابل‌محاسبه و قابل‌پیگیری باشد؛ به‌طوری که همه ذی‌نفعان از ابتدا تصویر روشنی از آثار احتمالی تغییر قیمت‌ها در طول اجرای پروژه داشته باشند.

Price Adjustment

In long-term construction and industrial contracts, price stability is rarely realistic. Changes in official price indices, exchange rates, labor costs, and the prices of materials and equipment can significantly affect the economic balance of a contract.

At METROR, Price Adjustment is used as a professional contractual mechanism to update the contract’s base prices in line with the general changes in price levels, in a manner that:

• protects the interests of both the Employer and the Contractor,

• manages the risk of abnormal price fluctuations, and

• enables realistic financial planning and scheduling for all parties.

Depending on the nature of each project, the price adjustment mechanism may include:

• the use of official indices (labor, materials, equipment, etc.),

• price adjustment formulas tailored to the contract structure,

• definition of a Base Date and review periods,

• setting a cap on adjustment, where appropriate,

• differentiation between eligible adjustments (within the approved schedule) and periods caused by non-permissible delays.
